The Company maintains an average active census of approximately 120 clients, with typical client stays of approximately two years. Revenue has grown consistently, increasing from approximately $7.4 million in 2023 to $8.1 million in 2024. For the ten months ended October 31, 2025, revenue totaled approximately $9.1 million, with projected full-year 2025 revenue of approximately $11 million. On an adjusted basis,

EBITDA increased from approximately $0.93 million in 2023 to $1.37 million in 2024, with

projected adjusted EBITDA of approximately $2.0 million for 2025.

Referral Sources and Growth

Referrals are generated primarily through county agencies, local hospitals, and word-of-mouth. The Company has built a diversified referral base and believes opportunities exist for continued growth through expanded referral relationships, increased operational focus, and additional investment in marketing and infrastructure.

Staff Overview

The Company is supported by a seasoned management and office team, including clinical, billing, payroll, and administrative staff, as well as a pool of approximately 140 caregivers. Ownership is willing to assist during a transition period, and the remaining staff are expected to remain postacquisition.
